Order Cancellation:
Because the work done by Sonrise Woodcarving Studio is by custom commission, no order may be canceled after a contract has been signed and a deposit made. If the payment of the balance due is not made prior to delivery then the commissioned work will remain in the possession of Sonrise Woodcarving Studio until such payment is made or for a period of 30 days from the posting of the final invoice or other request for final payment. If the balance of payment is not made within 30 days the commissioned work will become the property of Sonrise Woodcarving Studio to be disposed of as Sonrise Woodcarving Studio sees fit, and the 50% deposit on the commission will be regarded as payment for materials purchased and work done.
Warranty:
Sonrise Woodcarving Studio accepts liability ONLY for those aspects of a project over which it has direct control and is in no way responsible for installations by third parties not directly supervised by Sonrise Woodcarving Studio. An unconditional guarantee to repair or replace any commissioned work applies only to the use of premium materials at all stages of a project, and to the standards of our craftsmanship. We cannot be responsible for on-site environmental issues with wood products (such as warping or checking due to excess humidity or abnormal dryness) beyond the reasonable attention to the time-honored practices of woodworking and fine cabinetry. We will make every effort in good faith to resolve any issues that may arise to the client’s satisfaction.
Indemnification:
The Client hereby agrees to indemnify and hold harmless Sonrise Woodcarving Studio for any legal action that results from the misuse or abuse of any commissioned work created by Sonrise Woodcarving Studio by any party, or for any injury or harm that results to any party because of the installation of any commissioned work created by Sonrise Woodcarving Studio by any third party not under the direct on-site supervision of Sonrise Woodcarving Studio. The Client further agrees to indemnify and hold harmless Sonrise Woodcarving Studio and its affiliates and employees from any and all loss, cost, expense, and damage on account of any and all manner of claims, demands, actions and/or proceedings that may be levied against Sonrise Woodcarving Studio having any relation to work commissioned by the Client from Sonrise Woodcarving Studio after such work has been delivered and/or installed. The Client agrees, at the Client’s own expense, to promptly defend and continue the defense of such claim, demand, action or proceeding, that may be brought against Sonrise Woodcarving Studio provided that Sonrise Woodcarving Studio shall promptly notify the Client with respect thereto.
Ownership Of Preparatory Materials:
Designs, patterns, and other materials and processes created during the development and execution of a commissioned work remain the exclusive copyrighted and proprietary property of Sonrise Woodcarving Studio unless otherwise agreed to in writing. Exclusivity and/or retirement of a design once used by the Client will require an addendum to the contract terms and additional charges based upon the estimated loss of future revenues incurred by the retirement of the design from production. Designs supplied by the Client will remain the property of the Client and will not be copied without modification by Sonrise Woodcarving Studio.
Shipping & Handling:
All shipping charges are in addition to the selling price of the job. Shipments will be insured, if desired, by the Client for the replacement value of the finished work.
